Legal Counsel/Senior Legal Counsel - Private Equity

Position Overview
The Legal Counsel/Senior Legal Counsel, Private Equity of StepStone Group will support StepStone’s Private Equity business, and report into the Associate General Counsel, Private Equity. As an integral member of the Legal team, the person filling this role will be responsible for drafting and negotiating legal documentation with respect to the firm’s (a) private equity investments, including primary fund commitments, secondary transactions and co-investments and (b) clients and investment products, including commingled funds, funds-of-one, and investment advisory relationships.
Essential Job Functions:
- Draft, review and negotiate documentation related to StepStone’s private equity investments, including private placement memoranda, partnership agreements, term sheets, letters of intent, side letters and equity financing documents
- Manage outside counsel in connection with formation of new commingled funds and funds-of-one and select private equity investment activity
- Review legal due diligence materials, including regulatory correspondences
- Monitor existing investment portfolio and manage disposition of investments
- Assist senior attorneys in fund formation and structuring for private equity commingled funds and funds-of-one and negotiating investment advisory agreements and placement agreements
- Managing ongoing legal operational needs of commingled funds, advisory clients and funds-of-one, including term and investment period extensions, amendments, consents and liquidity elections
- Coordinate and work closely with investment, finance, compliance, and operational due-diligence teams on all fund formation and investment activities
- Supervise paralegals, including in the negotiation of confidentiality agreements, closing-related matters, subscription documents, transfer of fund interests, and other matters, on an as-needed basis
- Special projects from time to time subject to availability (e.g., strategic transactions, new product research and evaluation, special mandate activity, process efficiencies, legal technology implementations, fiduciary counseling and training, regulatory filings, etc.)
Qualifications
- Must possess a law degree (LLB or JD), good academic track record and membership in good standing with an applicable law society
- Approximately 3 to 5 years (1-3 years UK PQE) private markets fund formation/LP advisory, investment management and/or transactional legal experience within a law firm or investment management firm, with at least 2 years in a strong funds practice within a law firm
Required Knowledge, Skills, and Abilities:
- Professionally communicate with all levels of staff and external stakeholders
- Utilize effective time management skills to maintain a commitment to quality and attention to detail; ensure that all work is completed accurately and on time
- Foster a sense of teamwork, assisting others when needed/required; work collaboratively with attorneys supporting other asset classes to share best practices, provide coverage, etc.
