About the job:We’re looking for an experienced, hands-on, detail-oriented, and enthusiastic Senior Assistant Company Secretary at Monzo. This role will report directly to the MBL Company Secretary and you will work closely with Monzo’s Group Board, its subsidiary Boards both in the UK and overseas, and its Group senior management.
You will be one of two Senior Assistant Company Secretaries within the team and will have the opportunity to work on a range of corporate secretarial matters in a face paced innovative fintech group.
Role Responsibilities:
Board/Committee Management: Lead the end-to-end process for the Boards/Committees you are responsible for, including internal and chair agenda preparation, paper requests, preparing chair reports, attendance at meetings, minute-taking, managing conflicts of interest, maintaining the conflict of interest register, communicating action items, and maintaining the action tracker and decision log.
Corporate Secretarial Business Partner: Establish and maintain strong partnerships with business counterparts, acting as a strategic business partner.
Diligent Boards/Entities Management: Manage Diligent Boards/Entities, including providing major shareholders with access to Board materials on Diligent
iNED Equity Participation Scheme: With support from the MBL Deputy Company Secretary, manage the iNED Equity Participation Scheme.
Employee Share Option Exercises: Manage the bi-annual employee share option exercise process, working closely with the Reward Squad.
Year-End Declaration Packs: Support the delivery of year-end declaration packs for directors for all companies within the group.
Regulatory Returns: Prepare regulatory returns that MBHG or MBL are required to make annually and ad hoc in case of any changes.
Company House Compliance: Prepare appropriate Companies House forms, arrange for four-eye reviews, secure signatures, and ensure filing within statutory time limits.
Board Governance Procedures: Own and manage the Board Governance Squad procedures, including annual reviews.
KYC Documentation: Maintain the Monzo Group (including subsidiaries) KYC corporate information documentation.
ONS Surveys: Ensure the completion of Office of National Statistics surveys.
You Should Apply If:
- You are an ICSA-qualified company secretary or equivalent with post-qualification experience in a governance or company secretary role, with financial services experience ideally, but not essential.
- You have experience operating as a secretary on subsidiary entity Boards/Board Committees.
- You are passionate about governance, the intersection of banking and technology, and what we are doing at Monzo excites you.
- You have the ability to quickly pivot and adjust to new situations, keeping pace with a constantly evolving business environment.
- You excel in communication, with a proven ability to write clearly and concisely, and simplify complex information for varied audiences.
- You have strong knowledge of corporate governance principles and applicable financial regulations.
- You are detail-focused with a track record of producing high-quality work.
- You are a team player and natural collaborator, passionate about effecting change while remaining goal-focused and impact-driven.
- You are committed to continuous learning and improvement.
- You are comfortable operating at all levels of the organisation, including the Board and Executive Committee.
The Interview Process:
Our interview process involves 4 main stages:
- Recruiter call (potentially followed by an initial call with a member of the Legal team)
- First stage role specific interview
- Second stage interview
- Coffee chat

Your compensation package:
