With our product, businesses can collect, manage and document user consents on websites and apps, and achieve full compliance in accordance with global privacy regulations while facilitating high consent rates and building trust with their customers.The Corporate Secretary will be responsible for ensuring the smooth and efficient operation of key financial/legal items, overseeing corporate governance practices, and maintaining corporate records. The ideal candidate will have extensive experience in corporate governance, statutory compliance, and board administration, with a strong attention to detail and excellent organisational skills.

Your Tasks

Board & Investor Administration:

  • Board & Investor Administration:
  • Organise and prepare agendas for board meetings, in close collaboration with the CXX team.
  • Execute on accurate board minute taking.
  • Ensure timely distribution of board material.
  • Handle investor requests and ensure distribution of requested material and information.

Corporate Governance:

  • Provide input on corporate governance best practices.
  • Ensure compliance with statutory and regulatory requirements.
  • Maintain up-to-date knowledge of corporate governance trends and legislation.

Compliance and Legal:

  • Work with our in-house legal team to ensure the company complies with key compliance items, including statutory filings and adherence to rules of procedure.
  • Manage corporate records, including minutes, resolutions, other legal documents, shareholding and incentive pool (VSOP) records in cap table management tool - Capdesk.
  • Liaise with external legal advisors and regulatory bodies as necessary.

Communication:

  • Serve as the primary point of contact between the board, senior management, and external stakeholders (on relevant topics to your role).
  • Facilitate effective communication and information flow within the organisation (on relevant topics to your role).
  • Ensure all corporate registry information and documents are readily available for any KYC and AML processes, customer RFIs and other relevant business purposes.
  • Assist KYC processes with regard to shareholder information, including liaising with institutional investors and family offices.
  • Handle confidential and sensitive information with discretion.

Project Management:

  • Take a key part of the implementation of corporate risk management policies and procedures (relevant to your role).
  • Project manage key topics (this could be connected to cap table changes, fundraising, M&A, or other similar topics).
  • Coordinate execution of online transactions and signatures in the space of shares and incentive pools.

Additional Duties:

  • Support CXX with special projects and initiatives, as required.
  • Ensure the effective use of technology for board administration and governance processes - including Capdesk administration, assigning user rights to company and external stakeholders.

You Bring

  • Minimum of 3 years of experience in a corporate secretarial role, preferably within a B2B SaaS or technology startup/scale-up (or equivalent e.g. in an investment firm).
  • In-depth knowledge of corporate governance principles and practices including shareholder/cap table matters.
  • Strong organisational, communication, and interpersonal skills.
  • Fluency in German (and/or Danish) and English.
  • Ability to work independently and manage multiple priorities.
  • Professional certification such as Chartered Secretary (ICSA) or equivalent is highly desirable.
  • Data privacy experience is not required, but a passion for this space makes a difference!
  • Attention to Detail: Ensuring accuracy in board documentation and corporate records.
  • Integrity: Handling sensitive information with the utmost discretion.
  • Communication: Excellent written and verbal communication skills.
  • Organisational Skills: Strong ability to plan, prioritise, and coordinate activities.
  • Problem-Solving: Ability to anticipate issues and provide solutions proactively.
