Counsel, Commercial - Procurement Support
We are looking for a dynamic Commercial- Procurement Support lawyer to support our rapidly growing global business. This lawyer will directly support Wayfair’s business, with a focus on commercial transactions. Principal duties will include: contract drafting and negotiation; holistic advice and counsel to business stakeholders; and providing support for a variety of highly collaborative and cross-functional matters of all shapes and sizes.
This lawyer will need to be a strong generalist, while also developing specialization in areas of business need. For our Commercial-Procurement lawyers, this involves drafting and negotiating of a wide range of inbound agreements and terms including: non-disclosure agreements (NDAs); contingent labor and consultancy agreements; vendor in-bound service agreements and statements of work; online terms of service and terms and conditions of sale; contract amendments, variations, and addendums; order forms; and marketing agreements/support, which includes drafting sweepstakes and contests as well as drafting and negotiating production agreements, IAB terms and Insertion Orders amendments, influencer agreements and direct to talent management agreements. Knowledge or experience with data privacy laws, data processing agreements, and intellectual property licensing a bonus but not required. As part of a small legal team where all members contribute at every level, this lawyer must be able to think creatively, provide solution-oriented advice and develop a mastery of both the big and small picture.
A successful candidate will be hard-working, proactive, pragmatic and collaborative, with a strong business focus and the ability to build consensus in ambiguous situations and evolving legal landscapes. This attorney should also bring a global perspective and the ability to learn both quickly and in depth about a new business or initiative.
This hybrid position will be based in our Boston office. At Wayfair, hybrid for enterprise employees requires a commitment to be in the office Monday through Thursday, with Fridays remote.
What You'll Do
- Partner closely with stakeholders, procurement team, and legal team members to service and support internal legal requests and organizational initiatives.
- Become an expert in commercial agreements, including transactions across all facets of Wayfair’s unique multidimensional business, with a focus on buy-side and sourcing agreements.
- Research, analyze, and advise on a wide range of legal topics, including licensing, data security, labor laws and construction laws, intellectual property, and privacy law.
- Proactively identify and address opportunity areas to streamline contract and negotiation processes.
- Help drive the product roadmap for key legal technologies, including matter and contract management systems and client-facing legal request tools.
- Learn our business and industry, and develop and deploy a calibrated risk-based approach to complex and novel legal issues.
What You'll Need
- 2+ years of transactional legal experience at a law firm or in-house.
- J.D. with top academic credentials and membership with at least one state bar.
- Willingness to master new and unfamiliar areas of practice and to roll-up sleeves, pitch-in and tackle complex problems with the broader Wayfair team, including both legal and non-legal colleagues.
- Highly effective, business-friendly and persuasive writing and communication skills including excellent negotiation and relationship-building abilities.
- Project management experience and the ability to prioritize, multi-task, meet deadlines and maintain flexibility in a dynamic and fast-paced environment.
