About the role 

As our Contracts Manager, you'll be a key member of our legal team, playing a pivotal role in supporting our business operations, ensuring legal compliance, and contributing to the growth of our organization.

As Contracts Manager, reporting to the Senior Legal Counsel managing UserTesting’s EMEA and APAC Legal Team, you will be responsible for independently reviewing and negotiating commercial contracts, and providing general legal advice and support to a variety of stakeholders across the business. You’ll be required to work closely with our sales, finance, data privacy, security, and IT teams to make sure that we’re able to reach a satisfactory outcome for everyone involved.

This role is based in the UK, where the Senior Legal Counsel managing the team is located. You'll have the flexibility to work remotely as well as use the Edinburgh office as needed. You should be comfortable working in a virtual environment while also facilitating in-person collaboration when required. Flexibility, adaptability, and a commitment to promoting a positive remote work experience are essential attributes for success in this role. Infrequent travel to UserTesting’s other offices globally (USA, England, France, Germany, Spain, and Asia) may be necessary to attend specific meetings/ events.

 

Other responsibilities include:

  • Drafting, reviewing and negotiating a variety of contracts, including SAAS agreements, Order Forms, Amendments, NDAs and DPAs relating to UserTesting’s services;
  • Attending customer facing calls in which you will lead the legal discussion and explain UserTesting’s legal position and processes;
  • An understanding of legal principles such as warranties, indemnities and liability caps, and the ability to provide guidance on these to non-legal colleagues;
  • Providing ad-hoc legal assistance on general in-house matters such as Dispute Resolution, Data Privacy, Compliance, IP Rights, ESG/ Corporate Governance, IT, Procurement, Marketing and HR/ Employment issues;
  • Delivering training to non-legal colleagues;
  • Proactively supporting the sales process and deal flow;
  • Where required stepping outside of purely legal tasks by assisting on non-legal tasks such process development and commercial tasks;
  • Assisting with the maintenance of up to date documentation and legal repositories.

 

About the Legal Team

Our Legal Team currently consists of the General Counsel (based in Minnesota), the NAM and LATAM Legal Team of two attorneys and one paralegal led by a Director, Corporate Counsel (based in California), the EMEA and APAC Legal Team of two UK and one French solicitor, led by a Senior Legal Counsel (based in Scotland), and our Senior Legal Counsel/ Data Protection Officer (based in England). We’re a lean team and so process and standardisation is key for us. We recognise that there’s always room for improvement and so new ideas are always welcome. We pride ourselves on being able to provide practical, commercially sound advice whilst protecting our business from legal risks.

 

Requirements

  • A paralegal with relevant experience
  • Strong understanding of commercial and contract law
  • Strong analytical and problem-solving abilities
  • Experience working at a commercial law firm, or in-house at a high-growth SaaS company or similar technology-focused, sales-driven organisation
  • Experience drafting and negotiating commercial contracts
  • Experience in researching novel areas of law/ legal developments, extracting pertinent points and streamlining for senior stakeholders
  • Experience in or knowledge of Technology, SAAS, or IP law
  • Experience in or knowledge of Data Protection or employment law
  • Experience of working on deals across multiple jurisdictions
  • Experience working with fast-paced, entrepreneurial sales forces
  • Enthusiastic contributor to developing new ways of working;
  • A Highly persuasive and customer centric approach
