Your role and your team:
At Lilium, we are building radically better ways of moving. Our Legal Team plays an integral role in supporting the design, development and certification of the first electric vertical takeoff and landing (eVTOL) jet. The Legal Team works alongside every function of the company to support Lilium’s mission. We work fast, collaborate and support each other.
Lilium is seeking an experienced corporate, securities or transactional attorney to join its Global Legal Team as Corporate Counsel (U.S.), preferably located on a hybrid basis in its Boca Raton, Florida office.
In this role you will be a key member of our Legal Team and will work closely with Lilium’s corporate functions, including our Finance, Commercial, and People teams. Reporting to our Deputy General Counsel, the Corporate Counsel (U.S.) will work closely with members of our Senior Leadership Team on high-profile partnerships and commercial relationships, corporate governance and compliance matters, and Securities and Exchange Commission filings (we have been listed as a foreign private issuer (FPI) on the Nasdaq since September 2021). You will also be asked to roll up your sleeves and provide strategic legal support on a variety of corproate governance, commercial contracts and global compliance and operations matters.
Your day to day:
- Direct day-to-day administration of Company’s securities compliance program including assisting with preparing SEC and Dutch corporate filing such as annual reports and periodic filings and ensuring compliance with securities laws, rules and regulations and Nasdaq listing requirements.
- Support and provide legal guidance advice on corporate governance activities, including Board of Directors materials, resolutions, memoranda and minutes.
- Advise corporate directors and executive leadership regarding risks and benefits involved in regulatory enforcement, compliance, and litigation strategies and obligations.
- Review and provide legal guidance on external disclosures and communications such as press releases and shareholder updates.
- Provide legal guidance and manage matters concerning investments including performance and organization of due diligence projects.
- Support Company’s insider trading compliance program, including administration of Company’s 10b5-1 program and providing advice and training on Company’s insider trading policy and practices.
- Support Company’s business conduct and integrity compliance program, including providing advice and training on Company’s code of business conduct and managing company’s corporate compliance whistleblower tool. This includes reviewing reports made to Company’s whistleblower tool, conducting internal investigations, as necessary, and advising Company’s Corporate Compliance Committee.
- Draft, negotiate, and implement contracts, templates, terms and conditions, agreements and memorandums related to complex supplier, commercial and third-party relationships. Also, work on contracts related to the day-to-day affairs of the company.
- Provide legal guidance regarding political contributions, lobbying, infrastructure development, and governmental contracting.
- Give sound legal advice to colleagues related to corporate governance, compliance, corporate, securities and transactional matters and occasionally prepare training materials related to areas of expertise.
- Lead Legal Team initiatives and provide general counseling in support of business affairs.
- Support administration of company’s globally entities in Europe, Asia and USA.
- Supervise and direct the activities of outside counsel.
Your Profile:
- A law degree from an ABA-accredited law school.
- A member in good standing of at least one state bar within the United States, preferably member of the Florida Bar or authorized in-house counsel in Florida.
- 3-6 years of legal experience preferably at a large or medium international or a well-known U.S. law firm. Experience within in-house corporate legal team will also be considered.
- Experience handling Securities and Exchange Commission filings, including knowledge of Nasdaq listing requirements rules applicable to a foreign private issuer (FPI).
- Experience drafting and negotiating complex commercial contracts, including M&A, project finance, asset finance, and/or technology transactions, and a wide variety of other agreements such as employment, confidentiality, consulting, and services agreements
- Experience drafting compliance and governance policies and trainings.
- A basic understanding of intellectual property, executive compensation, employment, and data privacy laws are a plus.
- Basic understanding of accounting and finance concepts preferred.
- Microsoft Word, Excel, Outlook, PowerPoint proficiency.
- Fluency in English is required.

Preferred Location
Preferred location is in our Boca Raton, Florida where we offer a flexible hybrid arrangement with 2-3 days per week in office. Occasional travel, including to our headquarters in Munich, Germany, may be required.
