About the job:

We’re looking for a deeply experienced, hands-on, detail-oriented and enthusiastic Group Senior Assistant Company Secretary at Monzo. This role will report directly to the MBL Company Secretary and indirectly to the Group Company Secretary at Monzo therefore you will work closely with Monzo’s Group Board and its subsidiary Boards as well as its Group senior management.

You will be responsible for deputising from time to time for the MBL Company Secretary as well as providing corporate secretarial support to the Group Monzo Board where required and its subsidiaries and its Committees as well as providing a strategic secretarial support and service to the business.

Role Responsibilities

  • Manage the end to end process for Board and Board Committee meetings, including proactively agreeing the agenda with the Chairs, attending and taking accurate minutes of meetings and actions.
  • Act as Secretary to one or more  of Monzo’s subsidiary Boards and any relevant Board Committees with the opportunity to be involved with the Executive Committee.
  • Oversee information flows within the Board and its Committees and between senior management and non-executive directors.
  • Ensure the appropriate adherence by the Board and its Committees to the Articles of Association, Shareholders’ Agreement, and relevant Terms of Reference.
  • Work with the Group finance function to support the Group Company Secretary in the preparation of Monzo Group Consolidated Annual Report & Accounts and with the MBL Company secretary team in producing MBL’s material subsidiary accounts 
  • When relevant, to work with the Group Company Secretary, Group Finance, Group IR, C-suite and other relevant teams to support Monzo’s Annual General Meeting planning 
  • To advise on general UK Company law matters, directors duties and corporate governance including advice on Corporate Governance Code
  • To help maintain relevant Board policies and procedures (such as conflicts) and D&I
  • Support the development of the corporate secretarial function, including drafting and embedding new corporate secretarial processes and procedures. 
  • Support with a wide range of questions from the business. 
  • Support the annual effectiveness review process for the Board and its Committees.
  • Support key governance projects, such as corporate restructurings or listed entity preparation.

You should apply if:

  • You are an ICSA qualified company secretary or equivalent with substantial post qualification  experience  in either a governance or company secretary role, ideally in a fintech or bank. You have technical listing experience or experience of working in PLC Company secretarial teams and familiarity with ongoing disclosure obligations. You also have experience of operating as a secretary on subsidiary entity  Boards.
  • You have an ability to quickly pivot and adjust to new situations, keeping pace with a constantly evolving business environment.
  • You have excellent communications skills with a proven ability to write clearly and concisely, while also simplifying complex information for a variety of audiences. 
  • You have strong knowledge of corporate governance principles and applicable financial regulations.
  • You are detail focused with a track record of producing high quality work.
  • You are a team player and natural collaborator who is passionate about effecting change whilst at the same time being goals-focussed and impact-driven.
  • You have a passion for learning and a drive for continuous improvement.
  • You are comfortable operating at all levels of the organisation including the Board and Executive Committee.

The Interview Process:

Our interview process involves 4 main stages: 

  • Recruiter call (potentially followed by an initial call with a member of the Legal team)
  • First stage role specific interview
  • Second stage values interview
  • Coffee chat

Your compensation package:
