Role Summary
We are seeking a highly organized and detail-oriented Legal Counsel specialized in Corporate Governance & Entity Management to join our European legal team. This role is critical to ensuring corporate compliance and governance across multiple jurisdictions in Europe. The ideal candidate will have a strong background in European corporate law and proven experience in managing legal entities and regulatory obligations in a multinational environment.
What you'll do Corporate Governance & Entity Management-
Ensure strong corporate governance standards across all European entities.

Draft, prepare, and manage shareholder and board resolutions in compliance with local legal frameworks.

Maintain and update corporate records, including statutory registers, business profiles, and organizational charts.

Oversee the management of constitutional documents such as Articles of Association, Bylaws, and Charters.

Manage capital-related transactions (e.g., share capital increases/reductions, fund injections).

Support structural changes such as director changes, share transfers, and internal reorganizations.

Monitor and ensure timely compliance with corporate legal and regulatory obligations, including statutory filings and beneficial ownership declarations.

Lead renewals and maintenance of business licenses, registrations, and permits across jurisdictions.

Support the full lifecycle of legal entities: formation, registration, operation, and dissolution.

Ensure intercompany agreements are maintained and aligned with intra-group transactions and transfer pricing policies.

Provide legal and administrative support to boards, including drafting of meeting agendas, minutes, and governance documentation.

Advise on corporate governance best practices and procedures.

Manage relationships with external legal counsel, corporate service providers, notaries, and secretarial agents across Europe.

Collaborate closely with internal departments such as Finance, HR, Payroll, Tax, and Labour to ensure aligned legal execution.

Legal Expertise: Strong knowledge of European corporate law; hands-on experience with legal matters for private limited liability companies

Experience: 3–6 years in corporate governance and legal entity management across European jurisdictions.

Multinational Experience: Prior in-house legal experience in a multinational setting or within a law firm serving cross-border clients.
