Legal Counsel / Senior Legal Counsel - Private Equity Funds

Position Overview
The candidate who fills this position will support StepStone Group Private Wealth LLC (“SPW”). SPW manages private markets funds primarily domiciled in the USA, Luxembourg, the Cayman Islands and Australia. This position will primarily provide legal advice on fund structuring, maintenance and distribution matters related to a Luxembourg Part II fund complex and its Australian domiciled feeders. The position will report to the lead legal counsel for SPW.
Essential Job Functions:
- Work closely with SPW’s lead counsel on all Part II fund matters, including but not limited to drafting fund related agreements (such as distribution agreements, platform agreements, administration agreements, etc.) and other fund related documents (such as subscription forms, offering memoranda, supplements, etc.)
- Draft and negotiate distribution agreements, coordinate with Compliance Department to ensure compliance with local marketing laws and regulations
- Work with outside counsel to register the funds in foreign jurisdictions
- Review marketing materials for compliance with applicable regulations
- Proactively liaise with Senior Associate General Counsel and other internal stakeholders to ensure consistent and coherent implementation of various legal projects
- Support management of Luxembourg boards
- Assist lead legal counsel for SPW in managing outside counsel and other services providers
- Lead ad-hoc process improvement projects and other tasks
Education and/or Work Experience Requirements:
- Experience in negotiating/drafting fund related agreements and other documents, with special focus on Luxembourg Alternative Investment Funds. Exposure to Australian, US as well as Cayman fund structures is an asset
- Have successfully worked for a minimum of 3-4 years in a reputable law firm or asset management firm in relevant the field
- Preferably have some experience as an in-house lawyer

- Focus on specific goals and demonstrate a sense of personal growth, accountability and urgency for achieving results
- Willingness to limited travel (USA)
