Position Overview

The position will support StepStone’s Infrastructure & Real Assets business (“SIRA”), with client groups serviced from Australia, North America and the United Kingdom and investments located globally.  You will report into the Associate General Counsel, Infrastructure & Real Assets in the London office and be an integral member of the SIRA team and StepStone Legal team.  Together with the other members of the SIRA Legal team, you will support SIRA’s fund and private markets investments, including primary fund commitments, secondary transactions and co-investments, as well as assist with servicing SIRA’s clients, including commingled funds, separately managed accounts, and advisory relationships.  This is a hands-on role which will include managing external counsel where appropriate.

Essential Job Functions:

  • Review, negotiate and draft analyses and documentation for SIRA clients in respect of (i) primary fund investments, (ii) secondary transactions and (iii) co-investments, including private placement memoranda, partnership agreements, term sheets, letters of intent, and side letters
  • Assist with fund formation, structuring and on-going legal operational needs of SIRA separately managed accounts and commingled funds
  • Negotiate and draft documentation for SIRA investment advisory engagements
  • Manage outside counsel in connection with select investment activity and client account formation
  • Analyze proposed amendments and advisory board actions in respect of fund investments held by the firm’s clients, prepare recommendations and coordinate with clients
  • Supervise and work with paralegals, including in reviewing and processing MFN elections in respect of fund investments, negotiating confidentiality agreements, closing-related matters, subscription documents, transfer of fund interests, and other matters, as-needed
  • Special projects from time to time as appropriate and subject to availability (e.g., strategic transactions, new product research and evaluation, special mandate activity, process efficiencies, legal technology implementations, training, regulatory filings, etc)

Qualifications

  • Must possess a law degree (LLB or JD), good academic track record and membership in good standing with an applicable law society
  • Approximately 3 to 5 years (1-3 years UK PQE) private markets fund formation/LP advisory (e.g. private equity, infrastructure, real assets and/or real estate) at a law firm and/or investment management firm, with at least 2 years in a strong funds practice within a law firm

  • Professionally communicate with all levels of staff and stakeholders, internal and external
  • Utilise effective time management skills to maintain a commitment to quality and attention to detail; ensure that all work is completed accurately and on time
  • Foster a sense of teamwork, assisting others when needed/required; work collaboratively with including attorneys supporting other asset classes to share best practices, provide coverage, etc.
