 What You’ll Do

Cloudflare’s business requires a world class legal team to help the company deal with complex matters by anticipating complications and distractions and guiding the company around those obstacles. We’re looking for a new team member who can help foster our unique corporate philosophy and approach, in which the security and privacy of our customers are paramount. We are looking for an energetic, team-oriented, problem solver for the role of Public Sector Compliance Manager who will be responsible for supporting Cloudflare’s Public Sector Compliance function from a contract lifecycle perspective. With a passion and eye towards efficient compliance and risk management, you will manage  the negotiation, redlining and drafting, execution of complex and non-standard State and Local Government, and Education (SLED) contracts, amendments and renewals for the Cloudflare for Government organization in conjunction with key internal partners. After contract award, you will follow up on risk mitigation actions and contract management as well as other post-award activities.

You will be the friendly human face and focal point for business risk and contract negotiations, from analysis to mitigation recommendations to leadership. You should have experience working with client delivery teams as well as experience managing the negotiation of product contracts. Additional experience with complex Information Technology implementations and service contracts is desirable.

The Public Sector Compliance Manager will interact with the company sales team, and customer procurement and legal personnel on contract matters requiring coordination across organizational lines. Provides updates to management and sales on contracts and negotiations and advises sales of contractual eligibility, rights and obligations in concert with managers and attorneys. Assists in contract reviews as needed for individual customers and company-wide initiatives. You will report to Senior Legal Counsel, Public Sector Compliance within the Legal Department.

Responsibilities:

Guidance and support to business leaders within Cloudflare

  • Serve as liaison between Deal Desk, RFP Team, and Sales members of Cloudflare and the Legal Team.
  • Provide guidance on risk mitigation strategies, contract formation, and contract management.
  • Facilitate internal compliance with contract terms, risk management policies and procedures, and management directives.

Proposal process and negotiation

  • Facilitate engagement review process for higher risk engagements and participate in pricing decisions.
  • Consult with relevant teams on Requests for Proposals, Teaming Agreements, and Non-Disclosures Agreements.
  • Assist with the review of requests for proposal (RFPs) and participate in the preparation of proposal responses with a significant impact to the company.
  • Review, complex and non-standard SLED contracts including master services agreements, amendments, renewals, non-disclosure agreements, and teaming agreements.
  • Generate Cloudflare contracts and amendments using approved templates and manage workflow in contract lifecycle management system.
  • Conduct Risk Consultations for all higher risk engagements prior to proposal submission.
  • Interpret contract requirements and obligations and provide guidance to engagement teams.
  • Review professional services and product contracts with a primary focus on reducing and mitigating delivery and contractual risks associated with the services being provided including Master Services Agreements, Statements of Work, EULAs, Engagement Letters, Professional Services Agreements, and Subcontractor Agreements.

Contract Leadership

  • Monitor compliance with professional standards and contractual obligations.
  • Manage contractual issues of diverse scope which require a comprehensive understanding of cradle to grave contract administration.
  • Analyze and assess potential impacts associated with contract delivery risks.
  • Assist in client negotiations with clients to resolve contractual issues.
  • Provides guidance to reduce project risks, adjust contract requirements to accommodate changing project circumstances, and manage expectations to contractual obligations and agreed upon performance standards.

Duties Include:

  • Maintain a detailed functional knowledge of all contracts, government policies, code requirements, and reporting metrics.
  • Coordinate with the relevant teams to incorporate compliance and reporting into practice and in the development of training.
  • Develop compliance tools for operations managers to provide oversight for each contract.
  • In collaboration with the Sr Legal Counsel, and Sales Operations, the Compliance Manager will develop internal and external reporting and compliance forms and systems.
  • In coordination with the Sales Operations, ensure all reporting and vendor forms meet contract obligations.

Qualifications:

Required:

  • 5+ years in either contract negotiation or or program management directly related to Public Sector contracts
  • Excellent organizational skills, ability to manage multiple projects at once, follow through and meet deadlines
  • Experience in working with client delivery teams, preferably in State, Local, or Higher Education
  • Experience working with large government contracts.
  • Experience with complex contract negotiation and working high stakes multi-million-dollar engagements, i.e. Information Technology implementations or technology companies
  • Works well in a fast-paced, high-pressure office setting with regular reporting deadlines.
  • A team player with a high value for diversity, equity, and inclusion.
  • Exceptionally well-organized and detail-oriented.
  • Must be legally authorized to work in the United States without need for employer sponsorship, now or at any time in the future
  • Bachelor's Degree

Preferred:

  • 5+ years’ experience reviewing, drafting and negotiating the legal terms of a range of commercial contracts
  • Experience with managing the negotiation, delivery, and risk assessments of professional services and product contracts Experience in accounting and/or finance managing multiple budgets
  • Strong written and oral communication skills
  • Strong analytical and computer skills
  • Common sense, great judgment, and a good sense of humor
  • In-house experience is a plus
