Senior Commercial Counsel

About the team
Our Legal Team currently consists of attorneys in the US, UK, and France, with our Vice President, Legal based in the US. This role will be part of a team of attorneys and contracts specialists responsible for all of our commercial contracts, both North American and international agreements. We’re a lean team and so process and standardization is key for us. We recognise that there’s always room for improvement and so new ideas are always welcome. We pride ourselves on being able to provide practical, commercially sound advice while protecting our business from legal risks.
The Opportunity
We are looking for a talented and experienced Senior Commercial Counsel to join our legal team. You will be responsible for drafting, reviewing, and negotiating various contracts related to our SaaS products and services. You will also provide legal advice and guidance to our leadership and business teams on commercial matters.
You’ll be required to work closely with our sales, finance, data privacy, security, and IT teams to make sure that we’re able to efficiently work through all of UserTesting’s commercial needs. You will also be essential to leading UserTesting’s commercial contracting processes and policies to accommodate the needs of the business and our customers.
To be successful in this role, you will need to have a strong background in SaaS contracts, excellent communication and negotiation skills, and a proactive and collaborative approach to problem-solving. You will also need to be able to work independently and manage multiple projects and deadlines in a fast-paced environment.
This role is based in the US, but will work closely with our non-US legal team members. You'll have the flexibility to work remotely from your home location. You should be comfortable working in a virtual environment while also facilitating in-person collaboration when required. Flexibility, adaptability, and a commitment to promoting a positive remote work experience are essential attributes for success in this role. Infrequent travel to UserTesting’s other offices globally (USA, England, France, Germany, Spain, and Asia) may be necessary to attend specific meetings/events.
- Own the entire contracting process for major customer and vendor agreements, representing the Company’s legal interests in working with internal stakeholders and external contacts to meet the company’s needs.
- Draft, review, and negotiate customer and vendor contracts, including SaaS subscription agreements, master service agreements, statements of work, data processing agreements, and non-disclosure agreements.
- Work collaboratively with our sales team to address issues and key risks while maintaining customer relationships and moving deals to close.
- Provide legal advice and support to the leadership and business teams on various commercial issues, such as pricing, licensing, intellectual property, data privacy, and compliance.
- Collaborate with internal and external stakeholders, including external counsel, to ensure alignment and consistency of contract terms and conditions.
- Develop and maintain contract templates, policies, and procedures to streamline and standardize the contracting process and ensure best practices.
- Monitor and update contracts to reflect changes in laws, regulations, and industry standards.
- Manage and maintain contract records and databases and provide reports and analysis as needed.
What we're looking for
- J.D. degree from an accredited law school and admission to the bar in an applicable state.
- Advanced experience in drafting, reviewing, and negotiating SaaS contracts, preferably in-house at a SaaS company or at a law firm with a SaaS practice.
- Knowledge and understanding of SaaS business models, revenue recognition, data privacy, and intellectual property laws and regulations.
- Excellent written and verbal communication skills and ability to communicate complex legal issues in a clear and concise manner.
- Strong negotiation and interpersonal skills and ability to build and maintain positive relationships with internal and external parties.
- High attention to detail and accuracy and ability to work under pressure and meet deadlines.
- Self-motivated, flexible, and adaptable and willing to learn and grow in a dynamic and fast-paced environment.
