Senior Manager, Corporate Counsel, Public Sector 

Accelerate your career by joining Okta to lead our Public Sector Commercial Legal Team! As Senior Manager, Corporate Counsel, Commercial - Public Sector you'll be in charge of Okta’s global public sector commercial legal program.

What you’ll be doing 

  • Provide overall management and oversight of legal support to public sector commercial transactions, including establishing policies and procedures, directing more junior lawyers and coordinating with public sector compliance counsel.
  • Provide highly knowledgeable and responsive legal support to Okta’s US federal, state, local, education and international government revenue verticals.
  • Negotiate and draft outbound SaaS master subscription agreements, professional services agreements, statements of work, reseller/partner terms, and other types of commercial agreements with a broad range of customers including U.S. public sector government agencies, government contractors, and systems integrators.
  • Serve as a thought leader and business partner to Okta’s public sector sales, product, and engineering leadership on all matters impacting Okta’s public sector business by providing business-minded legal advice and guidance.
  • Collaborate with Okta's Partner Team and other members of the commercial legal team to build out Okta’s public sector partner program.
  • Enable sales, marketing, and other stakeholders by providing training and counseling on public sector contracts and compliance, with an emphasis on government contracting best practices.
  • Keep informed on applicable laws, government regulations and industry guidance that impact cloud service providers.
  • Assist in the design and implementation of appropriate policies and public sector compliance programs.
  • Partner with revenue recognition, security, sales operations, technology operations, and other stakeholder teams to ensure agreements are consistent with internal Okta policies and processes.
  • Review and advise on necessary adjustments to marketing collateral targeted toward public sector customers.
  • Build critical relationships with both legal colleagues and key stakeholders to effectively provide practical legal and strategic advice to assist the business in meeting its objectives.
  • Drive and contribute to a variety of ad-hoc projects across the department supporting business, legal (both public sector and commercial), and strategic corporate initiatives.

What you’ll bring to the role

  • 10+ years of experience drafting and negotiating complex public sector transactions.
  • 5+ years of in-house experience, involving at least 2 years of direct people management, with a demonstrated track record of leadership, efficiency, collaborating with sales management and internal stakeholders to successfully manage a team and close deals while working within a fiscal-quarter cadence.
  • Deep substantive knowledge of U.S. government procurement processes and contracting laws, rules, regulations and standards, including FedRAMP, FAR, DFARS, etc.
  • Direct experience and knowledge of the SaaS business model, enterprise cloud computing, and related data privacy and security matters.
  • Experience negotiating agreements for indirect sales via a partner/reseller.
  • Familiarity with revenue recognition issues and experience working with revenue and sales operations teams.
  • Sound and practical business judgment; strong problem solver.
  • Self-motivated individual who is team-oriented and has a good sense of humor.
  • Strong academic background and J.D. from highly-regarded school, bar admission.

Below is the annual base salary range for candidates located in California, Colorado, New York and Washington. Your actual base salary will depend on factors such as your skills, qualifications, experience, and work location. In addition, Okta offers equity (where applicable), bonus, and benefits, including health, dental and vision insurance, 401(k), flexible spending account, and paid leave (including PTO and parental leave) in accordance with our applicable plans and policies. The annual base salary range for this position for candidates located in California (excluding San Francisco Bay Area), Colorado, New York, and Washington is between:$177,000—$295,000 USD The annual base salary range for this position for candidates located in the San Francisco Bay area is between: $221,000—$331,000 USD
