Accelerate your career by joining Okta as a member of our Commercial Legal Team! The Counsel, Commercial Transactions, Public Sector role will support Okta’s rapidly growing public sector sales, pre-sales, partner, support, and professional services organizations. You’ll provide legal guidance, support compliance initiatives, structure deals, and draft and negotiate outbound agreements.

Responsibilities:

  • Negotiate and draft outbound SaaS master subscription agreements, professional services agreements, reseller agreements, and other types of commercial agreements, with a focus on federal, state, local and higher education public sector customers.
  • Work directly with key business stakeholders as a strategic adviser and tactical influencer to provide business-minded legal advice and guidance on a broad range of complex legal, business and strategic issues as they arise.
  • Enable sales, marketing, and other stakeholders by providing training and counseling on public sector contracts and compliance, with an emphasis on government specific best practices.
  • Keep informed on applicable laws, government regulations and industry guidance that impact cloud service providers.
  • Assist in the design and implementation of appropriate policies and public sector compliance programs.
  • Partner with revenue recognition, security, sales operations, technology operations, and other stakeholder teams to ensure agreements are consistent with internal Okta policies and processes.
  • Review and advise on necessary adjustments to marketing collateral targeted toward public sector customers.
  • Build critical relationships with both legal colleagues and key stakeholders to effectively provide practical legal and strategic advice to assist the business in meeting its objectives.
  • Drive and contribute to a variety of ad-hoc projects across the department supporting business, legal (both public sector and commercial), and strategic corporate initiatives.

Required Skills and Experience:

  • 4+ years of experience negotiating and drafting complex public sector legal transactions, with a special emphasis on state and local government procurement laws and processes.
  • 2+ years of in-house experience with a proven track record of efficiency, collaborating with sales leadership and internal stakeholders to close deals, and experience working within a fiscal-quarter cadence.
  • Direct experience and knowledge of the SaaS business model, enterprise cloud computing, and related data privacy and security matters.
  • Familiarity with revenue recognition issues and experience working with revenue and sales operations teams.
  • Ability to organize, prioritize and manage deadlines in a fast-paced work environment in support of a geographically dispersed team of motivated sales professionals.
  • Detailed oriented with excellent drafting and negotiation skills.
  • A self-motivated and personable individual who will be well-received within and outside Okta, with a high degree of emotional intelligence and ability to interact with executives at the VP-level within Okta.
  • A practical and proactive problem-solver who is confident and calm under fire.
  • Team oriented and with a sense of humor.
  • Experience working directly for a government agency in support of agency technology procurements strongly preferred but not required.
  • Strong academic background and J.D. from highly-regarded school, bar admission.

Below is the annual base salary range for candidates located in California, Colorado, New York and Washington. Your actual base salary will depend on factors such as your skills, qualifications, experience, and work location. In addition, Okta offers equity (where applicable), bonus, and benefits, including health, dental and vision insurance, 401(k), flexible spending account, and paid leave (including PTO and parental leave) in accordance with our applicable plans and policies. The annual base salary range for this position for candidates located in California (excluding San Francisco Bay Area), Colorado, New York, and Washington is between:$158,000—$221,000 USD The annual base salary range for this position for candidates located in the San Francisco Bay area is between: $175,000—$245,000 USD
