Tripadvisor is recruiting an attorney to work closely with, and report directly to, the Company’s Chief Compliance Officer. This position will be tethered to Tripadvisor's global headquarters in Needham, Massachusetts, but candidates throughout the United States are encouraged to apply given Tripadvisor's commitment to hybrid work.

What You’ll Do:

As Legal Counsel, you will sit in within the Legal Department and will:

  • Serve as legal lead on SEC filings, including 10-Ks, 10-Q’s, 8-K’s and proxy statements. 
  • Administer the company’s stock and annual incentive compensation plan and oversee compliance with the company’s Insider Trading Policy, including oversight over insider transactions, Rule 10b5-1 trading plans and Section 16 reporting/filings. 
  • Working closely with finance and investor relations, ensure compliance with SEC rules and regulations, including Regulation FD, and Nasdaq corporate governance and other regulations.  
  • Collaborate with internal departments for purposes of SEC reporting and SOX compliance, including with the finance, executive compensation and investor relations teams. 
  • Maintain current knowledge of relevant legal cases, principles, practices and legislation, including governance trends and best practices as well as SEC developments. 
  • Assist with public company communications, including press releases and investor relations. 
  • Support corporate governance and public company secretarial function, including assisting with the preparation of Board and committee materials. 
  • Legal lead and provide advice and support on capital market transactions, financings, mergers and acquisitions and other strategic transactions, including facilitating due diligence, contract negotiation, drafting and review; and coordinating closing matters. 
  • Provide effective and strategic legal advice by gathering information in a complex business environment, understanding business needs and goals, detecting legal issues and obstacles, identifying legal solutions and alternatives, and succinctly and competently counseling and communicating with technology and business professionals regarding legal risks, solutions, and alternatives.
  • Other assorted projects supporting the broader Compliance Team in the US and Europe.

 

Skills and Experience:

  • 4-6 years of experience, preferably with both law firm and in-house corporate experience.
  • Current state bar membership sufficient to enable you to practice in the Commonwealth of Massachusetts or another state.
  • Strong work ethic and ability to balance, prioritize, and follow through on numerous agreements and projects simultaneously in a fast-paced environment.
  • Self-starter able to work well independently and as part of a team, with strong organizational and interpersonal skills.
  • Resourcefulness and creativity when faced with problems without obvious solutions.
  • Excellent drafting and oral communication skills, with the ability to convey solutions and risks both succinctly and clearly.
  • An appetite to identify pragmatic solutions to complex legal or compliance matters.
  • Excellent business judgment and strategic thinking.
  • Although not required, prior experience managing/training more junior professionals would be very helpful. 
  • An interest in technology, e-commerce and online marketplaces.
  • Fluency in English required; fluency in a second European language (Spanish, French, Italian or German) a plus, but not required.
