Contracts Negotiator, Commercial Legal 

Accelerate your career by joining Okta, the leading independent provider of identity software for the enterprise, as a member of our dynamic commercial legal team as Contracts Negotiator, Commercial Legal.  In this role, you will have primary responsibility for advising and supporting the sales and professional services organizations supporting Okta’s customers in North America with a focus on our small to medium-sized customers.  As a highly skilled and experienced Contracts Negotiator, you will lead contract negotiations, draft and review agreements, and provide legal guidance under the supervision of  a senior attorney, on a wide range of contractual matters. The successful candidate will have a strong understanding of SaaS and related agreements, exceptional negotiation skills, and the ability to effectively manage multiple projects in a fast-paced environment with little oversight.

 

What you’ll be doing 

  • Support a dynamic Okta sales team calling on Okta’s small to medium sized customers.
  • Lead contract negotiations with customers and other third parties to secure favorable terms and conditions for Okta using existing legal resources, playbook and leveraging prior knowledge and experience.
  • Draft, review, and negotiate SaaS subscription agreements, professional services agreements, NDAs, SOWs and related transactional documents.
  • Provide legal guidance and support to internal stakeholders on contractual matters, including interpretation of contract terms and resolution of disputes.
  • Collaborate with cross-functional teams, including other colleagues in legal, sales, deal desk, finance, privacy, security and operations, to ensure alignment on contract terms and mitigate legal risks.
  • Stay informed of relevant laws, regulations, and industry standards related to SaaS contracts and provide proactive advice to mitigate legal risks.
  • Develop and maintain contract templates, playbooks, and other resources to streamline the contract negotiation process and ensure consistency and compliance.
  • Assist in the development and implementation of contract management policies and procedures to improve efficiency and effectiveness.
  • Manage and prioritize a high volume of contracts and projects to meet deadlines and business objectives.
  • Train and mentor junior members of the legal team on contract negotiation best practices and legal principles.

What you’ll bring to the role

  • Bachelor's degree in Law, Business Administration, or related field; Juris Doctor (JD) degree would be a benefit, but not required.
  • Minimum of 7-8 years of experience in contract negotiation and drafting, preferably in a corporate legal department or law firm.
  • Strong understanding of SaaS contracts and relevant privacy and security regulations and the ability to apply them in a business context.
  • Proven track record of successfully negotiating complex contracts on a sales cycle with corporate customers and other third parties.
  • Excellent written and verbal communication skills, with the ability to articulate legal concepts confidently, clearly and concisely including to customer attorneys and other senior contracting professionals.
  • Exceptional interpersonal and negotiation skills, with the ability to build rapport and influence stakeholders at all levels of the organization.
  • Ability to work independently and collaboratively in a fast-paced, dynamic environment.
  • Detail-oriented with strong organizational and time management skills.
  • Proficiency in Google Apps, Microsoft Office Suite and contract management software.

Below is the annual base salary range for candidates located in California, Colorado, New York and Washington. Your actual base salary will depend on factors such as your skills, qualifications, experience, and work location. In addition, Okta offers equity (where applicable), bonus, and benefits, including health, dental and vision insurance, 401(k), flexible spending account, and paid leave (including PTO and parental leave) in accordance with our applicable plans and policies. The annual base salary range for this position for candidates located in California (excluding San Francisco Bay Area), Colorado, New York, and Washington is between:$83,000—$138,000 USD The annual base salary range for this position for candidates located in the San Francisco Bay area is between: $103,000—$155,000 USD
